These Terms of Use (“Terms”) apply to you and to any employees or commercial users that you authorize to use our products or services (collectively, “you” or “your”). These Terms apply to your access to and use of the websites, mobile applications, and other online products and services, including but not limited to integration through application programming interface or “API” (collectively, the “Services”) provided by AiCR. (together with its subsidiaries, affiliates, successors and assigns, “AiCR”, “us” or “we”) and are an agreement between you and AiCR.

By using the Services, you accept and agree to be bound by these Terms (whether on behalf of yourself or a legal entity you represent). These Terms are in addition to, and do not nullify, any other agreement between you and us. If you or your organization are bound by a Master Service Agreement with AiCR (“MSA”), then these Terms will apply, if at all, only to use of the Service to the extent such use is not already governed by an MSA. These Terms provide that all disputes between you and AiCR with respect to your use of the Services will be resolved by binding arbitration unless a separate agreement between you and AiCR governs your relationship. If you do not agree to these Terms, do not use the Services.

Services: The purpose of the Services is to provide a tool for aggregating, parsing, and displaying data, including personal or financial data users collect from third parties in an efficient and easily reviewable format.

Below are the terms and conditions governing your use of “AiCR” services and this website.

1. No AiCR Warranties or Representations about the Products, Services, or Website.

AiCR makes no warranty, express or implied, concerning any use of this website or any service or product provided in connection with this website. The services and products provided by AiCR are provided on an “AS IS” basis. AiCR disclaims any implied warranty of merchantability or fitness for a particular purpose, including any warranty for the use or the results of the use of the products or services. AiCR is not responsible for correcting, maintaining, or updating the data and services made available on this website.

AiCR does not provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness, or suitability of the information and materials found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors, and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
AiCR does not represent that any product or service described on this website is suitable for you or your company.

As a user of this website, you can store, display, modify, copy, print, or otherwise use the information made available to you here only for your own use. You cannot publish, transmit, or otherwise make this information available in any format to any third party without the prior express written consent of AiCR. You also cannot change or remove any copyright (©), trademark (®, SM, TM) any other notices displayed with the information. AiCR can modify the information at any time and for any reason at its sole discretion. Unless expressly stated otherwise herein, no rights are granted to you regarding the information on this website from AiCR or any other source, including third-party providers of information for this website, which shall under no circumstances be liable to you in any way.

3. AiCR Monitoring.

Your use of the services on this Web site may be monitored by AiCR in any lawful manner, and the resulting information may be used by AiCR for its internal business purposes or in accordance with the rules of any applicable regulatory or self-regulatory organization.

4. Website or Internet failure.

AiCR shall have no liability, contingent or otherwise, to you or to third parties, or any responsibility whatsoever, for the failure of any connection or communication service to provide or maintain your access to this service, or for any interruption or disruption of such access or any erroneous communication between AiCR and you. AiCR also does not warrant or represent that the website shall be completely secure, specifically including, without limitation, that no unauthorized person shall intercept or access information transmitted by you.

5. Website Access.

Access to this website is restricted by password, and only authorized companies and their employees may use the website . An employee discharged from his or her employment with a company may no longer access this website, and any such unauthorized access shall be the responsibility of the company, and AiCR shall not be liable for any damages arising out of such unauthorized access.

6. Privacy.

Any submissions, including private personal information, like names, addresses, and so on, are voluntary and waive any and all rights you have to the protection of that information.

7. Anti-Hacking.

You expressly agree not to use or attempt to use any “virus,” “spyware,” “malware,” “adware,” “Trojan horse” “deep-link,” “scraper,” “bot,” “spider,” “data-mining,” “computer code” or any other automated device, program, tool, algorithm, process, or methodology or manual process having similar processes or functionality, to access, acquire, copy, or monitor any portion of this website or content. You also agree not to obtain or attempt to obtain through any means any materials or information on the website that have not been intentionally made available either by their public display on the Website or through their accessibility by a visible link or portal. You further agree not to violate the security of the website or attempt to gain unauthorized access to the website, data, materials, information, computer systems, or networks connected to any server, through hacking, password mining, or any other method.

8. No Linkage.

You expressly agree not to link to or attempt to link to this website or the web pages contained herein.

9. Enforceability.

You agree that any civil action arising out of this document or the subject matter contained herein shall be brought and maintained in a court of competent jurisdiction in the State and County of New York. The Law of the State of New York shall apply, without regard to its rules regarding the conflicts of laws.

10. Copyrights and Trademarks.

The layout of the website pages, graphics, and pictures used, and the collection of individual contributions are protected by copyright. Copyright belongs either to AiCR, the third-party content providers, or both. Either AiCR or the third-party content providers own all trademarks and service marks depicted here.

11. Repeat Infinger Policy, Copyright Complaints

We comply with the provisions of the Digital Millennium Copyright Act (the “DMCA”) applicable to our operations (17 U.S.C. §512, as amended). If you have an intellectual property rights-related complaint about material posted on the Service, you may contact us at the information provided below. Please note that under applicable law, if you knowingly give false, misleading, or inaccurate information that User Content is infringing, you may be subject to civil or criminal penalties. Any notice under the Digital Millennium Copyright Act (the “DMCA”) alleging that materials hosted by or distributed through the Service infringe intellectual property rights must include all of the information required by the DMCA for such notices. AiCR will take steps to promptly terminate without notice the accounts of users that are determined by AiCR to be “Repeat Infringers.” A Repeat Infringer is a user who has been notified of infringing activity or has had User Content removed from the Services at least three times.

12. Indemnification.

You agree to indemnify hold harmless and defend AiCR, including our employees, officers, agents and contractors and our related entities and their employees, officers, partners, agents and contractors (“Indemnified”) and continue to keep the Indemnified from and against any actions, proceedings, claims, demands, costs (on a full indemnity basis including, without limitation, reasonable legal and accounting fees) brought or made against the Indemnified by any person arising in connection with your use of the Website or content, or a breach of your representations and warranties in the Terms and Conditions of Use or this Agreement, or your violation of any of the Terms and Conditions of Use or this Agreement, and from and against any damage, loss(whether personal or property, and whether direct or consequential, including without limitation consequential financial loss), cost or expense suffered or incurred by any Indemnified as a direct or indirect consequence thereof.

13. Changes in Terms and Conditions.

AiCR may at any time revise the terms and conditions by which you may access the website or use AiCR services. By using this website and AiCR services, you agree to be bound by any such revisions and should therefore periodically visit this page to determine the then-current version of this document.

14. Prohibited Conduct and Content

You will not violate any applicable law, contract, intellectual property right, or other third-party right or commit a tort, and you are solely responsible for your conduct while using our Services. You will not:

  • use or access the Services (i) from a jurisdiction where such use or access is not authorized, (ii) for any illegal purpose, or (iii) in violation of any local, state, national, or international law;
  • conduct activities that may be harmful to others or that could damage AiCR’s reputation;
  • violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any third party intellectual property right, or violating any third party privacy right;
  • post, upload, or distribute marketing or advertising links or content, or any User Content or other content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate;
  • use scrapers, robots, or other data gathering devices not provided by AiCR on or through the Services;
  • interfere with security-related features of the Services, including by: (i) disabling or circumventing features that prevent or limit use or copying of any content; or (ii) reverse engineering, decompiling, or otherwise attempting to discover the source code of any portion of the Services, including the app(s), except to the extent that such activity is expressly permitted by applicable law notwithstanding this restriction;
  • interfere with the operation of the Services or any user’s enjoyment of the Services, including by: (i) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (ii) making any unsolicited offer or advertisement to another user of the Services; (iii) attempting to collect personal information, communications data, or other information about another user or third party without their consent; or (iv) interfering with or disrupting any network, equipment, or server connected to or used to provide the Services, or violating any regulation, policy, or procedure of any such network, equipment, or server;
  • perform any fraudulent activity, including impersonating any person or entity, claiming a false affiliation or accreditation, accessing any other account without permission, or falsifying your account registration information;
  • modify, translate, or create derivative works, adaptations or compilations of, or based on, the Services or part thereof, or use, copy or reproduce the Services or any part thereof other than as expressly permitted in these Terms;
  • assign, sublicense, lease, sell, grant a security interest in, or otherwise transfer the access granted under these Terms or any right or ability to view, access, or use any Records; or
  • attempt to do any of the acts described in this Section, or assist or permit any person in engaging in any of the acts described in this Section.

You may also post or otherwise share only User Content that is non-confidential and that you have all necessary rights to disclose. You are solely responsible for your User Content and the consequences of posting or publishing User Content. By posting or publishing User Content, you affirm, represent, and warrant that:

  • you are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to authorize users of the Services to use and distribute your User Content as necessary to exercise the licenses granted by you in this Section, in the manner contemplated by the Service, AiCR, and these Terms; and
  • your User Content, and the use of the Services as contemplated by these Terms, does not and will not: (i) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (iii) cause AiCR to violate any law or regulation, including laws related to the privacy of personal or health information.

The enforcement of this Section is solely at AiCR’s discretion, and the failure to enforce this Section in some instances does not constitute a waiver of our right to enforce it in other instances.

15. Feedback.

If you choose to provide input or suggestions regarding your experience with the Services (“Feedback”), then you hereby grant AiCR an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to exploit such Feedback in any manner and for any purpose, including to improve the Service and create other products and services.

16. Transfer and Processing Data.

In order for us to provide our Services and in accordance with our Privacy Policy, you agree that we may process, transfer and store information about you in the United States and other countries, where you may not have the same rights and protections as you do under local law.

17. Release.

To the fullest extent permitted by applicable law, you release AiCR and the other AiCR Parties from all Claims of every kind and nature, known and unknown (including, but not limited to, claims of negligence), arising out of or related to disputes between users and the acts or omissions of third parties. If you are a consumer who resides in California, you hereby waive your rights under California Civil Code § 1542, which provides: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”
